    Film Financing Basics
    with Pierce Law Group LLP

    Program Description
    Join CLA and Pierce Law Group LLP attorneys David Albert Pierce and Azita Mirzaian for an overview of how film financing works. From development funds to completion loans and everything in between, learn how a film project receives financing and the legal framework that drives the process. Topics to be covered include a bird’s-eye view of traditional models of financing, securities laws, crowdfunding, tax credits, the role of completion bonds and sales agents, and recent trends that are changing the financing landscape.

    Presenters
    David Albert Pierce, Esq. David’s practice encompasses all areas of entertainment law, including production counsel matters, film finance, guild matters, and intellectual property issues. He is a frequent lecturer on the legal issues confronting the entertainment industry; he has taught a UCLA Extension course on “Organizing, Financing, and Running A Start-Up Entertainment Production Company” for the past twelve years, and is an annual speaker at the Slamdance Film Festival and at the Academy of TV Arts & Sciences. David is a regular columnist for MovieMaker Magazine and serves as Vice President of Business Affairs for the magazine. He proudly served as production counsel on the critically acclaimed, Academy Award winning film “The Artist,” and has provided legal services on “The Hunger Games,” “Mad Men,” and “Weeds.” He also represents film lender and borrowers, and regularly drafts private placement offerings for productions.

    Azita Mirzaian, Esq. Azita’s practice includes entertainment litigation in the areas of copyright, trademark, right of publicity, contract disputes, defamation, and labor and employment law issues in the film and television industry. She also works in the areas of film clearance matters and child actor contract ratifications. Azita is the Vice Chair of the Beverly Hills Bar Association’s Intellectual Property Section; is on the Executive Committee of the Beverly Hills Bar Association’s Entertainment Section; and is a founding member of California Society of Entertainment Lawyers.

    Join Dawn Newton and Daniel Schacht of Donahue Fitzgerald LLP for a discussion of the essential legal and business concerns that creative artists need to consider when entering into a licensing agreement. This workshop will cover legal questions and common deal points for merchandising agreements for clothing, souvenirs, and the like.

    Presenters:
    Dawn Newton is a partner at Donahue Fitzgerald LLP, and member of the firm’s Intellectual Property and Business & Corporate Transactions Practice Groups . Her practice focuses on intellectual property and franchise matters, and she is a certified as a legal specialist by the State Bar of California’s Board of Legal Specialization in the area of Franchise and Distribution Law.


    Daniel J. Schacht is an attorney at Donahue Fitzgerald LLP, specializing in intellectual property, technology, and music law. He handles a variety of copyright, trademark, licensing, employment and general business matters for artists such as Carlos Santana, Journey, and Amon Tobin. He currently serves as co-counsel in Good Morning to You Productions Corp. et al. v. Warner/Chappell Music, Inc., the "Happy Birthday" class action lawsuit described by the New York Times as "a lawsuit for the ages." Before law school, Mr. Schacht worked ten years in the Bay Area music scene as a bassist, sound engineer, studio owner, and producer.

    Art and Merchandising
    with Stephen M. Doniger, Esq. & Scott Alan Burroughs, Esq.

    Program Description
    Clothing, posters, pillows, candles, keychains, stickers, dolls - the list of merchandise items is long, varied, and represents a major revenue stream for artists and rights holders. Copyrights, trademarks, trade dress, and rights of publicity – these and more are implicated in the wild world of merchandise. What do artists need to know before allowing their work to be used on merchandise? What are the different kinds of agreements that artists can make with merchandisers? Are there ways for artists to enforce their rights if they discover unauthorized use of their work? Join CLA and attorneys Scott Burroughs and Stephen Doniger for a presentation covering the intellectual property and contract issues involved in using visual art on merchandise.

    Presenters:
    Stephen M. Doniger, Esq. - In his 20 years of practice Mr. Doniger has successfully litigated cases in the federal and state courts of California, New York, Nevada, and South Carolina, and has overseen litigation in foreign jurisdictions including Canada and the United Kingdom through local counsel. He has built a successful practice around business disputes in general and intellectual property in particular for clients in the marketing, fashion, entertainment, real estate and hospitality industries. While his practice includes corporate governance, contract negotiations and disputes, and large tort and injury cases, his core passion is for protecting artist against theft of their creative expression. Mr. Doniger graduated from Brandeis University in 1992 and in 1995 he obtained his law degree from the University of Southern California.

    Scott Alan Burroughs, Esq. - Mr. Burroughs is passionate about protecting the rights of artists and content creators, and writes and speaks often on the subject. He has handled over a thousand art and business law disputes in his decade of practice – more than virtually any other attorney in the United States. His matters involve fashion, art, photography, scripted and reality programming, accessories, literature, documentary and feature films, websites, advertising, novelty goods, jewelry, hospitality, and home décor. He earned his Bachelor of Arts at the University of California, San Diego and his Juris Doctorate from the University of Southern California.

    This conference will provide a robust review of current trends in arts in corrections, including an overview of public policy, funding strategies, evaluation methods, and legislative trends.  Special features include a one-day training program on Tuesday, June 16 with experienced practitioners for artists who are new to the field, opportunities to build out the structure for a national coalition, and a showcase of the arts at San Quentin State Prison in Marin County on Friday, June 19. 

    Keynote speakers include Wayne Kramer, a nationally known rock musician who founded Jail Guitar Doors after being incarcerated at a federal prison, and California Senator Loni Hancock, Chair of the California Senate Public Safety Committee, Chair, of the Budget Subcommittee on Corrections, Public Safety and the Judiciary, and a member of the Senate Education Committee.

    Super Early Bird registration by April 20 --  $200 (save $100)
    Registration after that date and before June 1 --  $250 (save $50)
    Standard Registration after June 1 -- $300
