Maintaining Your Arts Non-Profit Organization
with Attorneys Deborah Cooke and Vida Thomas

Key issues to be covered include:  conflicts of interest, loans made by public benefit corporations, Director/Officer liability insurance and indemnification, maintaining tax-exempt status, political activities, charitable contributions and dissolution, and employment issues.

Attorney Deborah Cooke will present a broad overview, including requirements for directors and officers and annual filing and reporting requirements for state and federal agencies. Other key issues to be covered: conflicts of interest; loan made by public benefit corporations; director/officer liability insurance and indemnification; maintaining tax-exempt status; political activities; charitable contributions and dissolution.

Employment attorney Vida L. Thomas will be explaining how to ensure that you comply with the law. Think your worker is an independent contractor? Think again. The state and federal rules
defining independent contractors are complex, sometimes conflicting, and often counter-intuitive. Many individuals classified as independent contractors are actually employees, meaning that their “employer” can be forced to pay retroactive payroll taxes, as well as penalties for failing to withhold taxes, and failing to carry workers’ compensation
insurance.


Speaker Bios:
Vida L. Thomas, Esq. is a founding partner of Carlsen Thomas, LLP, and has practiced labor and employment law since 1993. A prolific speaker, Ms. Thomas has conducted dozens of seminars on a host of employment law topics, including employee hiring and discipline, coordinating federal and California leave laws, employee privacy and conducting effective sexual harassment investigations.

Deborah Cooke is a versatile fifteenth year lawyer skilled in education law, administrative hearings and nonprofit law. She has represented many non-profit organizations and has given numerous professional lectures on forming, maintaining, organizing and operating a nonprofit corporation. She is also a board member of California Lawyers for the Arts.
